Starting a business in Boulder, Colorado: a practical checklist

Requirements, fees and rules change, and Boulder runs its own tax and licensing system apart from the state. Confirm everything with the linked offices before you act. This is a checklist, not legal or tax advice.

Register the business with Colorado

If you want an LLC, you file Articles of Organization with the Colorado Secretary of State. The fee schedule lists $50 online, and an annual Periodic Report at $25 online. Fees are subject to change, so read the schedule on the day you file. The state also publishes a business checklist, and the City of Boulder links to it from its own starting-a-business page.

Get a City of Boulder business license

This is the step that surprises people. The city's business licenses page says Boulder is a home-rule city that administers its sales tax separately from the State of Colorado, so all businesses engaged in business in the city must have a City of Boulder business license. It says the Boulder Revised Code requires every business physically located in Boulder to be licensed and approved before operating, whether or not it sells taxable goods or services, and that service businesses are included. A business with more than one location in the city needs a separate license for each.

The license comes with a tax filing requirement. The page says you must file even when the tax due is $0. You apply through the city's Boulder Online Tax System, choosing "Complete a Business License Application." The city's starting a business page says licenses are renewed every odd year and that most businesses also have a use tax obligation. If you only attend a special event, the city has a separate Special Event Taxpayer license, described on the business licenses page.

Boulder sales and use tax, and the state license

The city's sales and use tax page covers filing and payment through the Boulder Online Tax System. Walk-in hours there are Monday through Thursday, 9 a.m. to 3 p.m., at 1136 Alpine Avenue, and the tax team can be reached at 303-441-3051 or [email protected]. Filing frequency is set by your average tax due, and the page lists the thresholds.

Boulder County and other licenses

The city's starting-a-business page points to the Boulder County licenses page and to the state's Department of Regulatory Agencies for professional licensing. It also lists activities that need extra city licensing, including liquor, marijuana, mobile food vehicles and contractors. Check the list for your trade.

Where you can operate, and working from home

Boulder's zoning decides which business uses are allowed at which address, and some need a public review. The city says to send an inquiry to Planning and Development Services before you sign a lease. For home businesses, the starting-a-business page lists the conditions for a home occupation, including that only the people living there carry it on, it uses no more than half the first floor area of the dwelling, there is no change to the outside appearance such as advertising signs, no exterior storage, and no traffic or parking beyond what the site normally handles. Renting out your home short term

The city's short-term rental licensing page says short-term rentals are stays of 29 days or less, the property must be the owner's principal residence, and the name on the license must match the deed. It lists a $190 rental license fee plus a one-time $25 business license fee for a new application, a four-year license term, and a yearly affidavit with a $20 fee. It also says short-term rental is no longer an approved use for any property with an ADU, and that the Tax and Licensing Division handles accommodation tax. Confirm current fees on the page.

Business address and mail

Decide early which address you will put on public filings. Colorado business records are public, and the Secretary of State's business search help says they show the principal office address and the registered agent's name and address. If you work from home, that can mean your home address unless you use another one.

The registered agent FAQ says an agent needs a physical street address in Colorado, not a P.O. Box. Use one address you actually check across your tax accounts, bank and licenses so notices do not go astray.

Free local help

  • City. The Economic Vitality Program says the city is a primary point of contact for businesses and aspiring entrepreneurs. The page says the new Office of Cultural and Economic Development began in January 2026.
  • SBDC. The Colorado SBDC serving Boulder County is hosted by the City of Boulder and offers no-cost one-on-one advising, plus workshops. Its page lists 303-442-1475 and links to its center address and hours.
  • Chamber. The Boulder Chamber describes itself as strengthening business and economic vitality. Check what membership includes and costs before you join.

Set up a business email address

You have two honest routes. Register your own domain and add Google Workspace or Microsoft 365, which suits a brand with staff because you own the domain.
